1. Eligibility:
1.1. The Channel Sales Promotion – AVM 12 Days of Christmas Promotion (hereinafter referred to as "Promotion") is open to all UK channel resellers and/or reseller partners of AVM Ltd (hereinafter referred to as "Participants") who meet the following criteria:
(a) Participants must be aged 18 or over.
(b) Participants must be in good standing with AVM and comply with all applicable laws and regulations.
2. Promotion Period:
2.1. The Promotion will run for a specified duration, starting from 01/12/2023 at 9am (GMT) and ending on 18/12/2023 at 5.30pm (GMT) (hereinafter referred to as the "Promotion Period").
3. Participation:
3.1. To participate in the Promotion, Participants must:
(a) Be a registered reseller/partner of AVM and hold a valid account.
(b) Make qualifying purchases of £1000 (excluding VAT) or above on participating vendors during the Promotion period.
(c) Ensure that the qualifying purchases are made within the specified regions/countries as defined by AVM.
(d) Comply with any additional requirements specified by AVM for participation.
4. Prizes:
4.1. Prizes are allocated randomly via our online gamification platform (hosted by Beeliked.com).
4.2. The prizes are non-transferable and cannot be exchanged for cash or any other alternatives.
4.3. AVM reserves the right to substitute a prize of similar value if necessary due to circumstances beyond its control.
5. Winner Notification and Verification:
5.1. It is AVM's aim to deliver the gamification link to qualifying resellers within 48 hours of the qualifying purchase.
Winners will be notified via email or other contact details provided during registration.
5.2. Selected winners must respond within 7 days of receiving the notification to claim their prize.
5.3. Winners may be required to provide additional information or complete a verification process as deemed necessary by AVM to confirm their eligibility and compliance with these terms and conditions.
6. Publicity:
6.1. By participating in the Promotion, Participants consent to AVM's use of their names, company names, logos, and any submitted promotional materials for marketing and promotional purposes related to the Promotion, without further compensation or notice.
7. General Conditions:
7.1. AVM reserves the right to modify, suspend, or terminate the Promotion, in whole or in part, at any time and for any reason without prior notice.
7.2. AVM reserves the right to disqualify Participants who violate these terms and conditions, engage in fraudulent activities, or attempt to manipulate or tamper with the Promotion process.
7.3. AVM's decisions regarding the Promotion, including but not limited to winner selection, prize allocation, and disqualification, are final and binding.
7.4. AVM shall not be liable for any loss, damage, or injury.
8. Tax and National Insurance (NI) Liability:
8.1. Winners of the promotion acknowledge and accept full responsibility for any applicable taxes and National Insurance (NI) contributions that may arise from winning a prize.
8.2. Winners are solely responsible for determining their tax and NI obligations according to the laws and regulations of their respective jurisdictions.
9. Prize Value Declaration:
9.1. Winners must accurately declare the value of the prize received as required by relevant tax authorities, if applicable.
9.2. AVM will provide necessary documentation, such as prize value confirmation, to assist winners in fulfilling their tax and NI obligations, to the best of its ability, upon request.
10. Indemnification:
10.1. Winners agree to indemnify and hold AVM harmless from any claims, demands, liabilities, costs, or expenses arising from their failure to comply with tax and NI regulations related to the Promotion prizes.
10.2. AVM shall not be liable for any penalties, fines, or legal consequences incurred by winners due to their non-compliance with tax and NI laws.
11. Professional Advice:
11.1. AVM strongly recommends that winners seek professional tax and financial advice regarding their prize winnings, tax liabilities, and NI obligations.
11.2. Winners should consult with qualified tax advisors or accountants to ensure compliance with applicable tax laws and regulations.
12. Governing Law and Jurisdiction:
12.1. These terms and conditions shall be governed by and construed in accordance with the laws of The United Kingdom and Ireland without regard to its conflict of laws principles.
12.2. Any disputes arising from or in connection with the Promotion and tax liabilities shall be subject to the exclusive jurisdiction of the courts of The United Kingdom and Ireland.
13. By accepting the terms and conditions of this Promotion, participants explicitly acknowledge and warrant that they possess the requisite authority and permission to accept any gifts, rewards, or incentives on behalf of their respective organisations. Participants further affirm that their acceptance of such rewards is in full compliance with their organisation's policies, guidelines, and any relevant legal or ethical considerations. Any liability arising from a participant's failure to obtain proper authorisation for the acceptance of gifts shall be the sole responsibility of the participant and not the organiser of the Promotion.
